Terms of Service

By accessing, registering for, or using any Cybelle service — including our website, intelligence platform, Threat IQ simulation environment, or consultancy services — you ("User", "you", or "your") agree to be legally bound by these Terms of Service ("Terms"). If you are accessing our services on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and [Cybelle Legal Entity Name] ("Cybelle") with respect to your use of our services. If you do not agree to these Terms, you must immediately discontinue access to our services.

We reserve the right to modify these Terms at any time. Material modifications will be communicated with a minimum of 30 days' notice. Continued use of our services after the effective date of a modification constitutes acceptance.

Access to authenticated areas of the Cybelle platform requires the creation of an account. You agree to:

• Provide accurate, current, and complete registration information and maintain the accuracy of such information
• Maintain the security of your access credentials, including passwords and any multi-factor authentication tokens
• Notify Cybelle immediately at legal@cybelle.io upon discovering any unauthorised use of your account or any security breach
• Accept responsibility for all activities that occur under your account credentials, whether or not you authorised them
• Refrain from sharing, selling, or transferring your account access to any third party

Cybelle reserves the right to suspend or terminate accounts where we reasonably suspect misuse, credential compromise, or violation of these Terms, without prior notice where the risk warrants immediate action.

All intellectual property embodied in Cybelle's services is owned exclusively by [Cybelle Legal Entity Name] or its licensors. This includes, without limitation:

• The Cybelle brand, trademarks, logos, and all associated trade dress
• Original research, intelligence reports, threat analyses, and editorial content published through the Cybelle Intelligence Hub
• The Threat IQ simulation platform, including all phishing scenarios, assessment modules, and scoring algorithms
• Software, source code, algorithms, APIs, and system architectures developed by or for Cybelle
• User interface designs, visual assets, and interaction patterns
• Trade secrets, proprietary methodologies, and confidential technical know-how

Nothing in these Terms grants you any ownership interest in Cybelle's intellectual property. Your right to access and use our services is a limited, non-exclusive, non-transferable, revocable licence granted solely for the purposes described in these Terms and any applicable service agreement.

Intelligence reports and research materials accessed through the Cybelle Intelligence Hub are licensed for internal, non-commercial use only. Reproduction, redistribution, or republication of such materials — in whole or in part — without prior written authorisation from Cybelle is expressly prohibited.

You agree not to use Cybelle's services for any purpose that is unlawful, harmful, or expressly prohibited by these Terms. The following activities are strictly prohibited:

Technical Prohibitions

• Reverse engineering, decompiling, disassembling, or otherwise attempting to extract source code from any Cybelle software or platform
• Automated scraping, crawling, or extraction of content from our platform without prior written consent
• Conducting security probing, penetration testing, or vulnerability scanning of Cybelle's infrastructure without explicit written authorisation
• Deploying malware, exploits, or any code designed to disrupt, damage, or gain unauthorised access to our systems
• Circumventing or disabling any security controls, authentication mechanisms, or access restrictions
• Using Cybelle's Threat IQ environment to conduct actual attacks against any real individual or system outside the simulation context

Content & Conduct Prohibitions

• Submitting false, misleading, or fraudulent information during account registration or service engagement
• Using our services to harass, defame, threaten, or otherwise harm any individual or organisation
• Using our services to violate any applicable law, regulation, or third-party rights
• Reproducing, distributing, or commercially exploiting Cybelle's intellectual property without authorisation

Violations of this Acceptable Use Policy may result in immediate account suspension, termination, and referral to law enforcement where applicable.

Cybelle's professional services — including cybersecurity consultancy, cloud architecture, software engineering, AI governance, and digital transformation engagements — are delivered under separately negotiated service agreements that supplement these Terms.

Platform Access

Access to the Cybelle Intelligence Hub and Threat IQ simulation platform may be offered under subscription or licence arrangements. Subscription terms, pricing, and renewal conditions are specified at the point of purchase or in your enterprise agreement.

Service Availability

Cybelle targets industry-standard platform availability for its digital services. While we invest in resilient infrastructure, we do not guarantee uninterrupted, error-free operation. Planned maintenance windows will be communicated with reasonable advance notice. Emergency maintenance may be conducted without prior notice where security or integrity risks require immediate action.

Commercial Engagements

Enterprise engagements are governed by our standard commercial terms or a bespoke Master Services Agreement. Payment terms, deliverable specifications, and SLA commitments are defined within those instruments. In the event of conflict between an MSA and these Terms, the MSA prevails.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBELLE'S SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Cybelle specifically disclaims:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that our services will be uninterrupted, timely, secure, or error-free
• Any warranty regarding the completeness, accuracy, or reliability of intelligence content, threat assessments, or analytical outputs
• Any warranty that defects in our services will be corrected within any specific timeframe

Intelligence reports and threat assessments published through the Cybelle platform represent our analysis at a point in time based on available information. The threat landscape changes rapidly; enterprise security decisions should not be made solely on the basis of our published content without independent validation by qualified security professionals.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYBELLE, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, business opportunity, or goodwill
• The cost of procuring substitute services
• Any damages arising from unauthorised access to or alteration of your data or transmissions

IN ANY EVENT, CYBELLE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO CYBELLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

Some jurisdictions do not permit the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, Cybelle's liability is limited to the minimum extent permitted by law.

You agree to indemnify, defend, and hold harmless Cybelle and its officers, directors, employees, contractors, agents, and licensors from and against any and all claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation
• Your use or misuse of Cybelle's services, including the Threat IQ simulation environment
• Your infringement of any third-party intellectual property, privacy, or other rights
• Any misrepresentation made by you in connection with your registration or use of our services
• Any content or data you submit, transmit, or make available through our platform

Cybelle reserves the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Cybelle in asserting any available defences.

Termination by You

You may terminate your account or cease using our services at any time. For platform subscriptions, please refer to the cancellation terms specified in your subscription agreement. Enterprise engagements are subject to the notice and exit provisions in the applicable service agreement.

Termination by Cybelle

Cybelle may suspend or terminate your access to our services immediately and without prior notice where:

• You have breached these Terms or our Acceptable Use Policy
• We are required to do so by law or a regulatory authority
• Your account has been compromised or poses a security risk to our platform or other users
• Your conduct exposes Cybelle to legal liability or reputational risk

For terminations not related to breach or misconduct, Cybelle will provide 30 days' written notice.

Post-Termination

Upon termination, your right to access and use Cybelle's services ceases immediately. Provisions that by their nature survive termination — including intellectual property rights, disclaimers, limitation of liability, and indemnification — shall remain in full force.

Personal data will be handled in accordance with our Privacy Policy and applicable data retention obligations.

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.

Dispute Resolution

We encourage parties to resolve disputes informally in the first instance. If you have a concern, contact us at legal@cybelle.io and we will endeavour to reach a resolution within 30 days of receiving your written notice.

Where informal resolution fails, disputes arising from or relating to these Terms shall be submitted to binding arbitration under the rules of [Arbitration Institution], with proceedings conducted in [Jurisdiction] in the English language. Arbitration awards shall be final and binding on both parties.

Class Action Waiver

To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Cybelle. All claims must be brought in your individual capacity.

Jurisdiction

For matters not subject to arbitration, you irrevocably submit to the exclusive jurisdiction of the courts of [Jurisdiction].

General service enquiries, partnership discussions, and press requests should be directed to hello@cybelle.io. Legal notices sent to general contact addresses may not be processed with the urgency required for formal legal proceedings.
